Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between you (“you,” “User,” or “Business User”) and BidBud, Inc., a Delaware corporation (“BidBud,” “we,” “our,” or “us”), governing your use of the BidBud platform, website at bidbud.ai, and all related services (collectively, the “Service”). By creating an account, clicking “I agree,” or using the Service, you accept these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

1. The Service

BidBud provides a software-as-a-service platform that allows small service businesses to:

  • Build and publish customer intake forms.
  • Generate AI-powered proposal documents using Anthropic’s Claude API.
  • Send proposals and invoices to customers.
  • Accept payments from customers via Stripe Connect.
  • Manage clients, submissions, and business operations.

2. Account Registration

2.1 You must be at least 18 years old and legally capable of entering into contracts to use the Service.

2.2 You agree to provide accurate, current, and complete information during registration and to update it as needed.

2.3 You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at hello@bidbud.ai if you suspect unauthorized access.

2.4 You may not share your account with others or allow multiple individuals to use a single account slot beyond your plan’s team member limits.

3. Subscription Plans and Fees

3.1 Subscription Fees. The Service is offered on a subscription basis. Current plans are: Starter at $29/month, Pro at $59/month, and Scale at $119/month. Pricing is subject to change with 30 days’ advance notice to active subscribers. Annual billing options may be available at a discounted rate.

3.2 Platform Fee. BidBud charges a 0.5% platform fee on all payment transactions processed through the Service via Stripe Connect. This fee is deducted from each payment before funds are disbursed to your connected Stripe account, and is in addition to Stripe’s standard processing fees.

3.3 Payment Method. Subscription fees are billed in advance on a monthly or annual basis via the payment method on file. Stripe processes all subscription billing. You authorize BidBud to charge your payment method on the billing date.

3.4 Non-Refundable. All fees are non-refundable except as required by law. This includes partial months and annual subscriptions. We do not provide prorated refunds for downgrades or cancellations mid-cycle. Chargebacks initiated without first contacting us are a violation of these Terms and may result in account suspension.

3.5 Free Trial. If offered, a free trial gives you full access to the Service for the trial period without charge. At the end of the trial, your subscription begins automatically unless you cancel before the trial ends. We may require a payment method to start a trial.

3.6 Late Payments. If a payment fails, we will retry for up to 7 days. After that, your account may be downgraded or suspended. You remain responsible for outstanding fees.

3.7 Taxes. Subscription fees do not include applicable taxes. You are responsible for all taxes, levies, or duties imposed by taxing authorities on your subscription.

4. Acceptable Use

Your use of the Service is also governed by our Acceptable Use Policy, incorporated by reference. In summary, you agree not to use the Service to: violate any law, regulation, or third-party rights; upload, transmit, or solicit illegal, harmful, or fraudulent content; collect payments for services you do not intend to provide; abuse, harass, threaten, or discriminate against any person; reverse-engineer or attempt to extract our source code; circumvent any rate limits, security features, or access controls; or use AI features to generate prohibited content.

5. Your Data and Content

5.1 Your Content. You retain all rights to the data, text, images, and other content you upload to or create within the Service (“Your Content”). You grant BidBud a limited, non-exclusive, royalty-free license to host, process, transmit, and display Your Content as necessary to provide the Service to you.

5.2 End Customer Data. You are solely responsible for the personal data of your customers that you collect via the Service. You represent and warrant that you have a lawful basis (under applicable privacy law) to collect and process that data and to transmit it to BidBud and its sub-processors (including Anthropic) for proposal generation purposes.

5.3 AI-Generated Output. Proposals and other content generated by AI features are based on inputs you provide. You are responsible for reviewing all AI-generated content before sending it to your customers. BidBud does not warrant the accuracy, completeness, or fitness for purpose of AI-generated proposals. You should not send a proposal without reviewing it.

5.4 Feedback. If you provide feedback or suggestions about the Service, you grant us an irrevocable, royalty-free license to use it without restriction.

6. Third-Party Services and Integrations

The Service integrates with third-party platforms including Anthropic (AI), Stripe (payments), Supabase (database/auth), Resend (email), Vercel (hosting), and Intuit (QuickBooks). Your use of those services is governed by their respective terms. BidBud is not responsible for the actions, policies, or outages of third-party providers.

Stripe Connect. To collect payments from customers, you must connect a Stripe account and accept Stripe’s Terms of Service and Connected Account Agreement. BidBud acts as a platform facilitating Stripe Connect. We are not a money transmitter or payment processor.

7. Intellectual Property

7.1 BidBud owns all right, title, and interest in the Service, including its software, design, trademarks, and documentation. Nothing in these Terms transfers any BidBud IP to you.

7.2 The BidBud name and logo are trademarks of BidBud, Inc. You may not use them without our prior written consent.

8. Public Proposal and Invoice Links

Proposals and invoices are accessible to anyone who has the shareable link — no login is required. You are responsible for: only sending links to intended recipients; revoking access (by deleting the document) if a link is shared unintentionally; and not including sensitive personal data in proposals beyond what is necessary. BidBud does not index public links or make them searchable.

9. Termination

9.1 By You. You may cancel your subscription at any time from the billing settings in your account. Cancellation takes effect at the end of the current billing period. You retain access until the end of the period you have paid for.

9.2 By BidBud. We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or engage in conduct that harms other users or the platform. We will give notice where practical.

9.3 Effect of Termination. Upon termination, your access to the Service ends. We will delete Your Content within 90 days of account termination. You may request an export before terminating.

10. Disclaimers

The Service is provided “as is” and “as available” without warranty of any kind. BidBud expressly disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. AI-generated content is provided as a draft only and is not legal, financial, or professional advice.

11. Limitation of Liability

To the maximum extent permitted by applicable law, BidBud and its officers, directors, employees, agents, and licensors shall not be liable for: (A) any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption; or (B) any damages exceeding, in the aggregate, the greater of $100 or the total fees paid by you to BidBud in the twelve (12) months immediately preceding the event giving rise to the claim. These limitations apply regardless of the legal theory of liability and even if BidBud has been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations — in those jurisdictions, liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless BidBud, Inc. and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) Your Content or your customers’ data; (c) your violation of any third-party rights; or (d) your violation of any applicable law or regulation.

13. Dispute Resolution — Binding Arbitration

Please read this section carefully. It affects your legal rights.

13.1 Informal Resolution. Before initiating arbitration, you agree to first contact us at hello@bidbud.ai and attempt to resolve the dispute informally for at least 30 days.

13.2 Binding Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer or Commercial Arbitration Rules, as applicable. The arbitration will be conducted in Delaware or, at your election, by telephonic or video hearing.

13.3 No Class Actions. You and BidBud agree that each party may only bring claims against the other in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims.

13.4 Exceptions. Either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims of intellectual property infringement may be brought in court.

13.5 Opt-Out. You may opt out of this arbitration agreement by emailing hello@bidbud.ai within 30 days of first agreeing to these Terms. Your opt-out must include your name, email, and a statement that you wish to opt out.

14. Governing Law; Venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration, the exclusive venue is the state or federal courts in Delaware, and you consent to personal jurisdiction there.

15. General Provisions

15.1 Entire Agreement. These Terms, together with the Privacy Policy, EULA, and Acceptable Use Policy, constitute the entire agreement between you and BidBud regarding the Service.

15.2 Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

15.3 Waiver. Failure to enforce any provision is not a waiver of the right to enforce it in the future.

15.4 Assignment. You may not assign your rights under these Terms without our written consent. BidBud may assign these Terms in connection with a merger, acquisition, or sale of assets.

15.5 Force Majeure. BidBud is not liable for failures or delays caused by circumstances beyond our reasonable control, including natural disasters, government actions, internet outages, or third-party provider failures.

15.6 Notices. Legal notices to BidBud must be sent to hello@bidbud.ai. We may send notices to you via the email associated with your account.
